PAYMENT TERMS
The purchaser acknowledges that this agreement is governed by the laws of the State of California and is to be performed in Madera County, California, where payment is to be received. All payments must be in U.S. funds. The terms of sale shall be payment net thirty (30) days, with a 1.5% monthly service charge (18% per annum) imposed on all accounts past due in excess of thirty (30) days on the unpaid balance. Payments will first be credited toward payment of the service charges. Purchaser agrees that in the event of any collection proceedings, they will pay all reasonable attorney’s fees and court costs. Any modifications to these terms and conditions must be made in writing and signed by an authorized representative of Teka Illumination, Inc.
CANCELLATIONS / CHANGES
All Teka Illumination, Inc., products are made to order. Orders may be cancelled or changed without penalty until they are acknowledged. However, orders for custom or modified products cannot be cancelled or changed. Orders for standard products with custom finish applications may not be cancelled or changed.
RETURNED MATERIALS
Teka Illumination, Inc., retains the right to determine which products will be acceptable for return at its sole discretion. No merchandise may be returned without written authorization. Material authorized for return may be subject to a restocking or handling fee and freight both ways. Credit will be issued upon inspection of goods. Custom fixtures, custom finishes, products older than 90 days from invoice date, and products installed or removed from factory packaging are non-returnable. Claims for orders with missing product or incorrect bill of material must be reported within 30 days of the invoice date.
FREIGHT CLAIMS
All claims for damaged or lost-in-transit material must be made directly to the carrier within the timeframes below. All carriers will arrange for an inspection of damaged packages.
1. UPS: 60 days
2. FedEx: 60 days
3. XPO: 7 days
WARRANTY
All products, excluding lamps, LED’s, drivers, and transformers, are warranted to be free from defects in material and workmanship for a period of 60 months (5 years) from the date of invoice. Lamps, LED’s, drivers, and transformers are covered to the extent of that particular manufacturer’s warranty. Teka Illumination, Inc., will not accept any claim for labor, installation, or penalty charges resulting from delayed shipments, product problems, or misapplication of products without prior written consent by Teka Illumination, Inc. Teka Illumination, Inc., will not be held liable for consequential and/or incidental damages related to such conditions. The Teka Illumination, Inc., agent or sales agent is not authorized to accept charges for any field repair to its products or to enter into any negotiations regarding labor or returns.
FREIGHT POLICY
All shipments under this Agreement are F.O.B. Madera, California. All shipments are Plus Freight and Handling and freight costs will be determined after shipment. Freight costs will be added to the invoice(s) for payment. Any dispute over freight charges shall be resolved by the parties in accordance with the dispute resolution provision of this Agreement.
